About the service

The contract of sale of real estate is one of the most formalized contracts in civil circulation. According to Art. 657 of the Civil Code of Ukraine, it is concluded in writing, must be notarized and is subject to state registration. An error in form or content is a basis for recognizing the contract as invalid or not concluded.

We work with both sides of the transaction: the seller and the buyer. If it is a purchase, we check the cleanliness of the object (due diligence - a separate service) and write a contract for your protection. If it is a sale, we prepare a contract with conditions that protect your part of the transaction (payment procedure, moment of transfer of rights, guarantees).

What do you get?

A legally correct contract for notarization that protects your position in the transaction. Analysis of risks that standard templates miss. Support for the notarial act and subsequent registration of the transfer of ownership in the State Register of Real Rights.

  • Verification of the subject of the contract and documents of the counterparty
  • Development of a draft contract or legal analysis of someone else's draft with comments
  • Agreement on key terms: price, payment procedure, transfer date, seller's guarantees, liability
  • Coordination with the notary, submission of the project for certification
  • Notarial certificate support
  • Control of registration of transfer of rights in the State Register of Real Rights
  • Calculation of tax consequences of the transaction (personal income tax, military duty, customs duty)

How it works

The first step depends on the client's role. If you are a buyer, we start by checking the property: data from the State Register of Property Rights, encumbrances, history of previous owners, absence of court arrests and criminal proceedings surrounding the property. If you are a seller, we prepare the seller's documents and a draft contract for your protection.

Developing a contract is not a template. We take into account the specifics of the object (apartment, house, non-residential, land plot, part of the object), the form of payments (cash, bank, escrow, installments), the presence of encumbrances (mortgage, lease), personal risks of the parties (marital relations, joint joint property, minor children).

Coordination - part by part. Negotiations are often required on key conditions: the moment of transfer of rights and risks, guarantees of cleanliness from debts, penalties for breaking the deal. After coordination - coordination with the notary and support of the certificate. After the certificate - control of the registration of the transfer of rights within 24 hours (for notaries who are state registrars).

When is it the right choice?

Contact us if: you are buying real estate and want proven legal protection; you are selling an object and need a contract that takes into account your risks; it is a difficult transaction - several buyers, encumbrances, installments, a specific object; you have identified weaknesses in the project proposed by the counterparty; a transaction with a foreigner, a legal entity, through intermediaries.

Sign up for a consultation - we will evaluate the deal and propose a contract structure for your situation.

How we work

  1. 01

  2. 02

    Verification of counterparty documents

Extracts from the State Register of Property Rights, encumbrance statements, identification documents, documents on the consent of the spouse. If necessary, a separate due diligence service.

  3. 03

    Contract drafting or legal analysis

We create a project from scratch or make comments on someone else's. We agree on key terms with the counterparty.

Frequently asked questions

01 Why can't you just use a contract template?

A template contract ignores the specifics of your property and your role in the transaction. Standard phrases like "the seller guarantees the absence of encumbrances" are empty without properly formulated consequences. In real contracts, correctly spelled out penalties, the moment of transfer of rights and risks, and the form of payments have a critical impact on the protection of the party.

02 How much do notary services cost?

Separately from our services. Depends on the value of the transaction and the notary. For a typical housing transaction - approximately from 2,000-5,000 ₴. Plus state duty (1% of the price), for registration (according to the tariff). The notary will inform you of the exact amount upon registration.

03 What about taxes when selling real estate?

It depends on the frequency of sales (once a year - exemption from personal income tax under certain conditions), the length of ownership (from 3 years - exemption), the status of the seller (resident/non-resident). During the consultation, we will calculate the tax consequences specifically for your transaction.

04 Is the consent of the other spouse required?

If the real estate was acquired during the marriage - yes, it is mandatory (Article 65 of the Civil Code). A notary will not certify the transaction without the written consent of the other spouse. The exception is if there is a marriage contract or a court decision on the division of property.

05 Is it possible to conclude an agreement through a proxy?

Yes, but the power of attorney must be notarized with clearly stated powers - not just "to sell", but a specific object, price, account for transfer. Foreign powers of attorney require an apostille and a notarized translation.
