Unilateral withdrawal from a contract: when notice terminates obligations

The counterparty sends a letter with the subject line “Notice of termination of the contract” and from the next day stops the supply, access to the premises or payment for services. The other party considers the contract valid, charges a penalty and continues to issue invoices. Such a dispute is not resolved by the wording in the subject line of the letter itself. It is necessary to establish whether there was a right of unilateral refusal, whether the conditions provided for it were met and when the addressee received the notice.

According to the general rule of Article 525 of the Civil Code of Ukraine, unilateral refusal of an obligation is not allowed, unless otherwise provided by the contract or law. Part three of Article 651 of the Civil Code of Ukraine links the permitted unilateral refusal with the termination of the contract. Therefore, a letter can terminate the contract without a court decision, but only if there is a specific legal basis.

The practical difficulty lies in three separate issues: the right to refuse, the procedure for its implementation and the consequences. Even a lawful refusal does not nullify debts, fines or the obligation to return property that arose before the termination of the contract. And a notice that did not reach the addressee or does not contain an unambiguous expression of will may not produce the expected result.

Refusal, offer to terminate the contract and lawsuit: what is the difference?

Unilateral refusal is an expression of will by one party, which, if there is a legal or contractual basis, is sufficient to terminate the contract. The consent of the counterparty or a separate court decision is not required for this. The Supreme Court qualifies such a refusal as a unilateral transaction aimed at terminating civil rights and obligations. That is why the requirements for the content of the will, form and delivery of the notification to the addressee are important for it.

A proposal to terminate a contract works differently. The phrases “we ask you to agree to terminate,” “we propose to terminate cooperation,” or a draft additional agreement indicate an intention to agree. They do not always mean an unconditional refusal. If the other party has not signed the agreement, the contract usually continues to operate until another mechanism provided for by law or the contract is implemented.

Termination by court decision also cannot be replaced by a letter. Part two of Article 651 of the Civil Code of Ukraine allows for the termination of a contract due to a material breach by the other party and in other cases established by the contract or law. Here, the plaintiff must prove the grounds, comply with the pre-trial procedure, if it is mandatory, and obtain a court decision. Until it enters into force, one should not act as if the contract has already been terminated.

The limit is especially noticeable in contracts where a special provision directly gives the right to withdraw from the contract. For example, Article 782 of the Civil Code of Ukraine allows the landlord to withdraw from a lease agreement if the tenant does not pay for three consecutive months. For certain types of contracts, commissions, insurance or provision of services, their own rules apply. They cannot be mechanically transferred to another contract.

Before sending a letter, you need to conduct a legal analysis of the contract and answer a simple question: does the letter exercise an existing right or does it merely offer the counterparty to negotiate? An error in this qualification leads to a delay on the part of the party that prematurely terminated the performance.

Where does the right to unilateral refusal come from?

The first possible basis is contained in the law. The Civil Code establishes special rights of refusal for specific types of contracts and specific circumstances. In such a case, it is necessary to check not only the name of the contract, but also its actual content. The document may be called a “cooperation agreement”, but under the terms of the contract it may be a contract for the provision of services, a contract for work, an employment contract or a mixed contract. The applicable norm depends on the qualification.

The second ground is contained in the contract itself. The parties may agree on the right of one or both parties to withdraw from it, the notice period, the communication channel and the date of termination. The provision must be sufficiently specific. The formula “a party may initiate early termination” is not identical to the right to terminate the contract by unilateral notice. The word “initiate” can only mean the beginning of negotiations or the making of an offer.

If the right depends on a violation, the sender must confirm the fact of the violation itself. For late payment, these are invoices, acts, bank statements and calculation of the term. For inadequate quality, inspection reports, claims, examination results or other evidence provided for by the contract are required. A reference in a letter to an abstract “loss of trust” does not replace the condition that the parties or the law have determined as a basis for refusal.

Separately, check whether the contract initially required a period to remedy the breach. If you have to file a claim and wait 10 business days before refusing, an immediate notice of termination may be premature. It also matters who signed the letter. The representative must have the authority to enter into the transaction, not just to conduct ordinary correspondence.

If there is no unconditional right of withdrawal, the party cannot create it in its own letter. It is necessary to negotiate an additional agreement or prepare a claim for termination of the contract in court. In complex commercial relations, it is safer to lay down an exit mechanism even during the development of the contract : determine the grounds, notice period, address, electronic channel, time of receipt and procedure for final payments.

When is a contract considered terminated?

The parties can directly determine the termination date. For example, the contract terminates 30 calendar days after receipt of the notice or on the last day of the month in which the notice period expired. In this case, the agreed formula must be followed. Sending a letter on August 1 does not automatically mean termination on August 31 if the addressee received it later, and the contract counts the period from receipt.

If the contract does not establish the moment of termination, the position of the Civil Court of Cassation in case No. 756/420/17 is important. In its resolution of May 17, 2023, the court noted: unilateral refusal belongs to transactions designed to be accepted by another person. Therefore, in the absence of another agreement, the contract is considered terminated from the moment the counterparty receives the notification, and not from the date of its preparation or dispatch.

This conclusion changes the practical calculation. If a letter is returned due to an incorrect address, the sender should not automatically consider the contract terminated. The contractual notice clause should be checked. Some contracts define notice as received after a certain period of time has elapsed from the date of dispatch to the agreed address, even if the addressee has not actually collected the correspondence. Others require actual delivery. The court will assess the specific wording of the term, the relevance of the address and the conduct of the parties.

E-mail also requires evidentiary discipline. A simple screenshot of the Sent folder does not always confirm delivery, recipient address, attachments, and document integrity. It is better to use contractually agreed addresses, a qualified electronic signature, technical letter headers, server confirmation, or an electronic document management system. A message in a messenger has a weaker position if the contract only names the mail or official e-mail address.

The date of termination affects the amount of counterperformance, rent, liquidated damages, return of property and the right to use the results of the work. Therefore, the chronology should be determined before the actual termination of performance. In a possible contractual dispute, proof of shipment alone is not sufficient if the date of receipt is in dispute.

What should be in the notification and how to prove its delivery?

The notice must identify the parties and the contract, contain a clear statement of intent to unilaterally terminate, reference to the law or clause of the contract, factual basis, if applicable, and the date of termination. If, after termination, the property must be returned, a deed must be signed, or a reconciliation must be conducted, it is appropriate to propose a specific procedure. This does not convert the termination into negotiations if the underlying statement of intent is formulated unconditionally.

Dangerous phrases leave the choice to the addressee: “we will consider the contract terminated unless you object,” “we ask you to confirm the termination,” or “we inform you of our intention to refuse in the future.” They may be appropriate for negotiations, but they create doubt about the conclusion of a unilateral transaction. The text should correspond to the purpose of the document.

Before sending, you need to create an evidentiary package. It includes the current version of the contract with annexes, documents on violations, the decision of the authorized body of the legal entity, if necessary, the power of attorney of the signatory, a copy of the message with all attachments and proof of delivery. For mail, this can be a description of the attachment, a receipt, tracking and a notification of delivery. For electronic document management, a file, signatures, receipts and a delivery log are stored.

Sending a document only to the address in the Unified State Register is also not always enough. If the contract contains a separate address for notifications, the parties used an agreed electronic system, or the counterparty duly notified the change of details, these circumstances must be taken into account. It is better to duplicate the notification through several permitted channels without changing its content.

If the contract requires both paper and electronic notification, both conditions must be met. Sending only one channel may not trigger the agreed notice period.

After delivery, you should record the date from which the notice period is calculated, and separately notify the accounting department, warehouse, managers and persons who must return access or property. Otherwise, the legal letter will exist separately from the actual performance, and the party will continue to receive services or use the premises. Such behavior will give the counterparty arguments for further settlements.

What obligations remain after refusal?

Termination of the contract terminates the obligations of the parties for the future, but does not erase what has already been performed and violations that arose earlier. Part four of Article 653 of the Civil Code of Ukraine establishes a general rule: the parties may not demand the return of what was performed before the amendment or termination of the contract, unless otherwise provided for by the contract or law. For advances, security payments, results of work in progress and transferred property, special conditions must be analyzed.

The debt for the delivered goods or received services is retained. Penalty and damages may be accrued for violations committed before the termination of the contract, and in some cases after it, if the party has overdue the obligation to return the property or funds. The right to recover damages under the contract depends on proving the violation, the amount of damage, causal connection and fault, unless otherwise provided by law.

It is also necessary to distinguish between main and post-contractual terms. Provisions on confidentiality, return of documents, intellectual property, final settlements, dispute resolution or liability may continue to apply after the main performance has ceased. Their validity depends on the content of the contract and the nature of the obligation.

If the refusal was unlawful, its author risks becoming a violator himself. A supplier who stopped deliveries without reason, or a landlord who prematurely closed access, may be liable for damages and penalties. In a dispute, the court will check not only the fact of the letter, but the entire structure: the legal basis, the occurrence of the condition, the authority of the signatory, the content of the expression of will, delivery and actual behavior after the stated date.

Before terminating the execution, it is worth drawing up a final act or a unilateral document on the status of settlements, a list of transferred property, unfinished work and accesses. This helps to separate debts that have already arisen from future obligations. The lawyers of "Your Lawyer" can check the grounds for refusal, prepare a notice and assess the risks before a unilateral decision develops into a legal dispute.

Frequently asked questions

Can I cancel any contract with 30 days' notice?

No. There is no general rule about the right to withdraw from any contract within 30 days. Such right, time limit and procedure must follow from the law or a specific contract.

Is a response from the counterparty to the refusal notice required?

If the refusal is lawful and formulated unconditionally, the counterparty's consent is not required. However, it is necessary to prove receipt of the notice or the occurrence of another moment agreed upon by the parties in the contract.

Does the contract terminate on the day the letter is sent?

Only if it directly follows from the law or the terms of the contract. According to the Supreme Court's approach, unless the parties have determined another point, the contract is terminated from the moment the other party receives the notice.

Can I send a message by email?

Yes, if this channel is in accordance with the contract and allows you to prove the address, content, attachments, date and delivery. For an important transaction, it is safer to use an agreed electronic document flow or duplicate the letter by mail.

What to do if the counterparty does not recognize the termination of the contract?

It is necessary to preserve evidence of the legal basis, violation, content and delivery of the notice, as well as to terminate the execution from the correctly determined date. The further method of protection depends on the dispute: it can be an objection to collection, a claim for recognition of the absence of an obligation, the return of property or the recovery of funds.

Visnovok

Unilateral refusal terminates the contract without a court only when the right to it is provided for by law or contract. For the result to be valid, the basis, conditions, authority, unambiguous text and proper delivery must coincide. If the parties have not determined another date, the reference point is the moment of receipt of the notice by the counterparty. Debts and liability for previous violations do not disappear after that.
